Terms of Service

1. Acceptance of Terms

By accessing or using TenderLift ("Service"), you agree to these Terms of Service ("Terms"). If you disagree with any part, you may not use our Service.

Business Use Only: This Service is intended for business entities registered in Switzerland. By using the Service, you represent that you are authorized to bind your company to these Terms.

2. Service Description

TenderLift provides:

  • Public tender intelligence from SIMAP.ch
  • AI-powered tender analysis and summarization
  • Company-tender matching based on CPV codes
  • Deadline tracking and notifications
  • Document management for tender preparation

No Guarantee: We do not guarantee you will win any tenders or that all relevant tenders will be identified.

3. User Accounts

3.1 Registration

  • You must provide accurate, current company information
  • You must be at least 16 years old
  • You are responsible for maintaining account security
  • One account per company unless otherwise agreed

3.2 Account Termination

We may suspend or terminate accounts that:

  • Violate these Terms
  • Engage in fraudulent activity
  • Remain inactive for 12+ months
  • Fail to pay subscription fees

4. Fees and Payment

4.1 Subscription Plans

  • Trial: 14 days free; billing starts after the trial unless cancelled.
  • Plans & Prices: See current pricing at /pricing. Prices are in CHF and excl. VAT.

4.2 Billing

  • Subscriptions auto-renew unless cancelled
  • Prices exclude VAT where applicable
  • Payment via Stripe (cards, SEPA)
  • No refunds for partial billing periods unless required by law. You can cancel at any time from the in-app Billing Portal; access continues until the end of the current period.

5. Intellectual Property

5.1 Our Content

All Service content, features, and functionality are owned by Ruzicic IT and protected by Swiss and international laws.

5.2 Your Content

You retain rights to content you upload. By uploading, you grant us a license to use it for providing the Service.

5.3 SIMAP Data

Tender data is sourced from public SIMAP.ch. We do not claim ownership of this public information.

6. Prohibited Uses

You may not:

  • Resell or redistribute Service data
  • Use automated systems to scrape the Service
  • Attempt to reverse engineer our algorithms
  • Share accounts or login credentials
  • Use the Service for illegal purposes
  • Impersonate other companies or individuals

7. Disclaimers

7.1 Service Availability

The Service is provided "as is" without warranties. We do not guarantee:

  • Uninterrupted service availability
  • Error-free operation
  • Complete or accurate tender data
  • Successful tender outcomes

7.2 Third-Party Services

We are not responsible for third-party services including SIMAP, ZEFIX, or payment processors.

8. Limitation of Liability

Maximum Liability: Our total liability is limited to the amount you paid us in the 12 months preceding the claim.

Exclusions: We are not liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits or missed opportunities
  • Missed tender deadlines
  • Decisions based on Service information

9. Indemnification

You agree to indemnify and hold harmless Ruzicic IT from claims arising from:

  • Your use of the Service
  • Violation of these Terms
  • Violation of any rights of another party
  • Content you upload to the Service

10. Data Protection

Your use of the Service is also governed by our Privacy Policy. We process data in accordance with Swiss revFADP and EU GDPR.

11. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email 30 days in advance. Continued use after changes constitutes acceptance.

12. Termination

12.1 By You

  • Monthly plans: Cancel anytime, effective at period end
  • Annual plans: 60 days notice before renewal

12.2 By Us

We may terminate immediately for Terms violations or non-payment.

12.3 Effect of Termination

  • Access to Service ends immediately
  • Data available for export for 30 days
  • No refund of prepaid fees

13. Governing Law

These Terms are governed by Swiss law, excluding conflict of law provisions.

Jurisdiction: Exclusive jurisdiction of courts in Lugano, Ticino, Switzerland.

Language: In case of translation discrepancies, the English version prevails.

14. Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

15. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Ruzicic IT regarding the Service.
